The Business Situation
The Client was raising US$500 million debt under its EMTN program and engaged PKC to assist in the same.

Our Role
PKC's assistance was mainly in the following activities:

• Selection of Investment Banks: PKC was involved in the selection of investment banks by way of participation in beauty-parades, evaluation of proposals submitted by banks and providing market updates on the recent happenings.
• Documentation: Preparation of preliminary prospectus and other documents and co-ordination with auditors and legal counsel for documentation purpose.
• Due Diligence: Assisted in both business and legal due diligence along with preparation of data room, preparation of responses to the due diligence queries, etc.
• Road show: Preparation of road show presentation and off-site support by addressing investor queries.

Since then, PKC has also been involved in the establishment and annual update of the EMTN program.
